Honigman Advises Natural Gas Compression Systems, Inc. on its Acquisition by Archrock, Inc.

Honigman clients, Natural Gas Compression Systems, Inc. and NGCSE, Inc. (collectively “NGCS”), and Archrock, Inc. (NYSE: AROC) (“Archrock”) announced that they have entered into definitive agreements under which Archrock will acquire NGCS, in a cash and stock transaction valued at approximately $357 million.

NGCS, based in Traverse City, Michigan, is a high-quality provider of natural gas compression equipment and services used in the production and transportation of natural gas to blue-chip customers primarily in the Permian Basin. Headquartered in Houston, Texas, Archrock is a leading provider of natural gas contract compression services and aftermarket services to customers in the oil and natural gas industry throughout the United States.

Honigman represents NGCS in the transaction with a M&A deal team led by Grand Rapids partners Tracy Larsen and Jordan Schwartz, with support from partners Nick Voran and Angela Reier and associates Mazen Hajali and Nick Prys. Advise on tax matters was provided by partners Ilan Napchan and Sheridan DuPont; on real estate and environmental matters by partner Ken Vermeulen; on employee benefit and executive compensation matters by partner Samantha Kopacz and associate Alex Burridge; on labor and employment matters by partner Matthew Radler; and on antitrust matters by partners Herb Allen and Jeffrey Kuras.
